Terms of Service: Final Discount on Product Page

These Terms of Service ("Terms") govern your access to and use of the Shopify app "Final Discount on Product Page" (the "App"), operated by Whizsetup ("we", "us", "our"). By installing or using the App on your Shopify store, you ("Merchant", "you") agree to be bound by these Terms. If you do not agree, do not install or use the App.

1. Who we are

Whizsetup is an independent software developer based in India, with a registered office at T-8, Noida, Uttar Pradesh, India (201301). We build and operate the App available through the Shopify App Store. You can reach us at support@whizsetup.com.

2. What the App does

The App displays finalized discount pricing on your product pages before shoppers reach checkout, combining Shopify's native discounts with the payment method discounts you configure. It runs as an embedded Shopify admin app plus a theme extension block installed on your storefront.

3. Eligibility

To use the App, you must:

• Own or be an authorised administrator of an active Shopify store

• Be at least 18 years old or the age of majority in your jurisdiction

• Comply with Shopify's Merchant Terms of Service, Acceptable Use Policy, and any other applicable Shopify terms

• Not be barred from using the App or Shopify under applicable law

We may refuse to provide the App to, or terminate service for, any Merchant who does not meet these requirements.

4. Fees, billing, and cancellation

Plans and pricing:

• Free plan — includes the core widget with one featured discount and one layout style. No charge.

• Pro plan — $4.99 USD per month, unlocking all features (unlimited discounts on the widget, all 8 widget layout styles, scarcity countdown timer, full widget customization, analytics CSV export, and email alerts). Includes a 14-day free trial for new installations.

Billing:

• All billing is handled by Shopify through the Shopify Billing API. We do not directly collect, store, or process your payment card details.

• Recurring charges are billed every 30 days by Shopify to the payment method on file with your Shopify account.

• Pricing is exclusive of applicable taxes; taxes are calculated and collected by Shopify per your jurisdiction.

Trial:

• The 14-day free trial is offered once per shop. Uninstalling and reinstalling does not reset the trial.

• If you cancel during the trial, you are not charged.

• At the end of the trial, your Shopify-linked card is charged $4.99 for the next month and Pro continues automatically until cancelled.

Cancellation and refunds:

• You can cancel your subscription any time by uninstalling the App or by managing subscriptions in Shopify → Settings → Apps and sales channels.

• We do not provide prorated refunds for the current billing period. Access to Pro features continues until the end of the paid period.

• Refund requests for exceptional circumstances (e.g. billing errors, technical issues that prevented use of the App) can be raised at support@whizsetup.com and are handled on a case-by-case basis.

Price changes:

• We may adjust the pricing of the Pro plan at any time. Any new price applies only to new subscriptions created after the change takes effect.

• Your existing subscription is locked at the price you originally agreed to when you subscribed, and Shopify continues billing you at that price for as long as your subscription remains active.

• If we ever need to modify the price of an existing subscription (for example, due to an unavoidable cost increase), Shopify requires your explicit approval of the new price through a confirmation screen. You are free to decline; if you decline, you remain on your existing plan for its current billing period and may cancel at any time without penalty.

• Uninstalling and reinstalling the App will subscribe you at the then-current price.

5. Merchant responsibilities

By using the App, you agree to:

• Configure discounts, prices, and payment method offers accurately and lawfully. You are solely responsible for the content of the discounts you advertise via the widget.

• Ensure your published discounts comply with all applicable consumer protection, advertising, and pricing laws in the markets you serve.

• Honour the discounted prices shown to shoppers on the widget at checkout, subject to the discount rules you configured.

• Keep your Shopify credentials secure and not share them with unauthorised parties.

• Use the App only for your own Shopify store's business operations. You may not resell, sublicense, or provide the App as a service to third parties.

6. Intellectual property

The App — including its code, design, user interface, documentation, brand name, and logo — is the exclusive intellectual property of Whizsetup. We grant you a non-exclusive, non-transferable, revocable, limited license to use the App on your Shopify store solely for its intended purpose, for the duration of your active installation.

You retain full ownership of all content you configure through the App (discount rules, widget settings, product data, analytics data). We claim no ownership over your business data.

7. Feedback and suggestions

If you send us feedback, feature requests, bug reports, or other suggestions about the App, you grant us an irrevocable, royalty-free, worldwide license to use, modify, and incorporate that feedback into the App or any of our other products, without any obligation to compensate you.

8. Third-party services

The App integrates with services provided by third parties, including:

• Shopify — the platform on which the App runs, and which handles authentication, billing, discount storage, and order data

• Fly.io — our hosting and infrastructure provider (see Privacy Policy for details)

• Payment gateways you configure — including Razorpay, Cashfree, Shopify Payments, and others you may enable for your storefront checkout

We are not responsible for the availability, accuracy, pricing, or terms of these third-party services. Your use of them is governed by their own terms and policies.

9. Prohibited use

You may not, and you may not permit anyone else to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App

• Copy, modify, or create derivative works of the App

• Sell, sublicense, rent, or otherwise commercially exploit the App

• Use the App to display discounts you do not intend to honour, to mislead shoppers, or to violate consumer protection laws

• Use the App in a way that infringes on the intellectual property, privacy, or other rights of any third party

• Attempt to gain unauthorised access to the App, our servers, or any related systems

• Use automated scripts, bots, or scraping tools to interact with the App in ways not intended by us

• Introduce viruses, malware, or any other malicious code into the App or through its use

10. Availability and support

We aim to keep the App available and performant, but we do not guarantee uninterrupted or error-free operation. Planned maintenance, third-party outages (including Shopify or Fly.io), or unexpected issues may cause temporary unavailability.

We provide support via email at support@whizsetup.com and aim to respond to inquiries within 2 business days.

11. Warranties and disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, we disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from a course of dealing or usage of trade.

We do not warrant that:

• The App will meet your specific requirements

• The App will be uninterrupted, timely, secure, or error-free

• The discount calculations displayed will always match the exact amount charged at checkout (payment method availability, real-time gateway rules, and other factors outside our control may cause differences)

• Results obtained from using the App will be accurate or reliable

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, in no event shall Whizsetup, its founders, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost data, loss of goodwill, or business interruption, arising out of or related to your use of, or inability to use, the App.

Our total aggregate liability arising out of or related to these Terms or the App, whether in contract, tort, or otherwise, shall not exceed the greater of (a) the total fees you paid to us for the App in the 12 months immediately preceding the event giving rise to the claim, or (b) INR 5,000.

Some jurisdictions do not allow the limitation of liability for certain damages; in those cases, our liability is limited to the greatest extent permitted by applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Whizsetup, its founders, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use or misuse of the App

• Your violation of these Terms

• Your violation of any applicable law or regulation

• Your violation of the rights of any third party (including shoppers, other merchants, or Shopify)

• The discount configurations, pricing, or content you publish via the App

14. Termination

By you: You can terminate these Terms at any time by uninstalling the App from your Shopify store.

By us: We may suspend or terminate your access to the App, with or without notice, if:

• You violate these Terms or any applicable law

• Your Shopify store is suspended or terminated

• We discontinue the App entirely (in which case we will provide at least 30 days' notice)

• We are required to do so by law or a competent authority

Upon termination:

• Your license to use the App ends immediately

• Sections 6, 7, 11, 12, 13, and 16 survive termination

• Data deletion follows the process described in our Privacy Policy

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will:

• Update the "Last updated" date at the top of this page

• Publish the revised Terms at this URL at least 14 days before they take effect, for material changes (e.g., pricing terms, data handling, scope of service). Non-material clarifications may take effect immediately.

• Where feasible, we will also surface a notice inside the App's admin interface pointing to the updated Terms.

Your continued use of the App after the new Terms take effect constitutes your acceptance of them. If you do not agree, please uninstall the App before the new Terms take effect. We recommend bookmarking this page and reviewing it periodically.

16. Governing law and dispute resolution

These Terms are governed by the laws of India, without regard to its conflict of laws principles.

Any dispute arising out of or related to these Terms or the App shall first be attempted to be resolved through good-faith negotiation between the parties. If not resolved within 30 days of written notice, the dispute shall be subject to the exclusive jurisdiction of the courts of Noida, India.

For merchants located in the EU/EEA, nothing in these Terms limits your consumer rights under the mandatory laws of your country of residence.
